| Model Bylaws for Your Co-op |
The Model Bylaws for Your Co-op is sample text you can use to update your outdated bylaws.
Your bylaws provide the governing structure of your cooperative:
- Are your bylaws current?
- Do they serve your needs?
- Are they updated to reflect changes in law and technology?
Continuous industry change has many co-ops operating with outdated and challenging sets of bylaws. Recognizing the need for co-ops to have up-to-date bylaws, NTCA just released a set of sample bylaws, Model Bylaws for Your Co-op.
The electronic document delivered right to your desktop and sold in Microsoft Word format highlights important bylaw changes that you need to make now. The document includes suggested text and formatted examples and was created by the NTCA Legal Committee.
This model bylaws resource is a guide for reviewing and updating the cooperative's bylaws. The document contains examples of bylaws for eligibility and classes of membership, rights and liabilities of the co-op and its members, member meetings, election of board members, meetings of the board, duties and responsibilities of board officers, indemnification of officers, board members, employees and agents, non-profit operation, disposition of property, financial transactions and other issues. Users are advised to consult with the co-op's attorney to ensure that current, as well as proposed bylaws, are in compliance with state laws.
